The 6 steps for your GmbH
Every step handled by a local advisor — you only sign where needed.
Step 01
We analyse whether the GmbH is your route
We compare GmbH, UG and branch by capital tied up, credibility with German clients and annual duties.
Step 02
Name and company contract
We check name availability and draft the Gesellschaftsvertrag with the business purpose and the allocation of shares.
Step 03
Capital, bank and payment receipt
We set how much capital to pay in and prepare the Einzahlungsbeleg with the bank that the notary needs for registration.
Step 04
Notarial signature of your deed
You sign the deed before a German notary, in person or by notarial video call; we prepare everything beforehand.
Step 05
Handelsregister and tax registrations
We coordinate the Handelsregister entry and prepare the tax registrations through to the USt-IdNr.
Step 06
Accounting, VAT and payroll
Books under the HGB, periodic VAT returns, corporate and trade tax returns and payroll.
Three points that raise the most questions
NIF / NIE of the partners
Shareholders may live abroad. We prepare each shareholder's documentation and the capital receipt the notary requires to register the GmbH.
Bank account and capital
A GmbH requires €25,000 of share capital, of which the legally set portion is paid in at incorporation. The German account is opened to evidence that payment to the notary.
Buying portfolio companies
The GmbH is the most credible legal form in Europe for holdings: grouping subsidiaries under a GmbH holding simplifies the management of holdings and the tax-neutral distribution of dividends.
