The 6 steps for your SL / SLU
Every step handled by a local advisor — you only sign where needed.
Step 01
We choose the legal form and compare
SL, SLU, self-employed or holding: we compare cost, tax and liability against your figures.
Step 02
Company name and NIE
We prepare the negative name certificate application and the NIE paperwork for you to file.
Step 03
Articles and deed
We draft the articles and the share allocation for you to sign before the notary, with whatever capital you decide to pay in.
Step 04
Commercial Registry and tax registration
We coordinate the provincial Commercial Registry entry and prepare the tax registration and the VAT number.
Step 05
Accounting and tax calendar
With Contaes: chart of accounts, VAT, withholdings and annual accounts filing, with every form in your calendar.
Step 06
Payroll and annual follow-up
Employee registration, payslips and contributions from the first contract, plus the year-end close with a status report.
Three points that raise the most questions
NIF / NIE of the partners
Non-resident shareholders need a Spanish NIE. We prepare each shareholder's paperwork (form, supporting documents and power of attorney where applicable) for filing before the deed.
Bank account and capital
An SL can be set up with capital from €1, with a mandatory reserve until it reaches €3,000. The company bank account is opened within the process.
Buying portfolio companies
The SL is the standard vehicle to operate in Spain with limited liability. With the reduced rates for new companies and the parent-subsidiary framework, it also serves as the parent of a subsidiary group.
